Terms of Use

1. Agreement to Terms

By accessing or using the Partners Studio website at ("the Site"), you agree to be bound by these Terms of Use. If you do not agree with any part of these terms, you may not access the Site.

2. Services Overview

Partners Studio, operated by Nikita Ahapov, provides Shopify development services including but not limited to:

• Custom Shopify theme development and modifications
• Custom Shopify app development
• Conversion rate optimization (CRO) audits and implementation
• Platform migration to Shopify
• Ongoing maintenance and support

All service engagements are subject to individual project agreements between Partners Studio and the client.

3. Project Agreements

Services provided by Partners Studio are governed by individual project proposals or contracts agreed upon by both parties before work commences. These project agreements will specify the scope of work, deliverables, timelines, and payment terms. In the event of any conflict between these Terms of Use and a specific project agreement, the project agreement shall prevail.

4. Intellectual Property

Upon full payment, clients receive ownership of the custom code and assets specifically created for their project, unless otherwise stated in the project agreement. Partners Studio retains the right to reuse general-purpose code patterns, frameworks, and methodologies across projects.

The Partners Studio name, PS+ logo, and all site content (text, graphics, design) are the property of Nikita Ahapov and may not be reproduced without written permission.

5. Shopify Apps

Shopify apps developed and published by Partners Studio (including but not limited to PS: Bulk Variant Editor) are licensed, not sold. Use of these apps is subject to Shopify's App Store Terms of Service and any additional terms specified on the app listing page. Partners Studio reserves the right to update, modify, or discontinue apps at any time.

6. Payment Terms

Payment terms, including deposits, milestone payments, and final payments, are defined in each project agreement. Unless otherwise agreed upon in writing, invoices are due within 14 days of issuance. Partners Studio reserves the right to pause or discontinue work on projects with overdue payments.

7. Limitation of Liability

Partners Studio provides development services on an "as-is" basis. While we strive for the highest quality, we cannot guarantee that any development work will result in specific revenue outcomes, conversion rates, or business results. Partners Studio shall not be liable for indirect, incidental, or consequential damages arising from the use of our services or website.

Our total liability for any claim arising from a project shall not exceed the total fees paid by the client for that specific project.

8. Third-Party Services

Our work frequently integrates with third-party platforms including Shopify, payment processors, analytics tools, and other services. Partners Studio is not responsible for the availability, performance, or terms of any third-party services. Clients are responsible for maintaining their own accounts and agreements with these providers.

9. Confidentiality

Partners Studio treats all client information, store data, and business details as confidential. We will not share client information with third parties without consent, except as required by law. Clients agree to keep any proprietary methodologies, tools, or processes shared during a project engagement confidential.

10. Website Use

You may use this website for lawful purposes only. You agree not to:

• Attempt to gain unauthorized access to any part of the Site
• Use the Site to transmit harmful, offensive, or illegal content
• Reproduce, duplicate, or exploit any content from the Site for commercial purposes without permission
• Use automated systems to scrape or extract data from the Site

11. Blog Content

Blog posts and articles published on the Site are provided for informational purposes only. While we aim for accuracy, Partners Studio does not guarantee that all technical advice or recommendations will produce the same results for every store. Always test changes in a staging environment before deploying to production.

12. Termination

Either party may terminate a service engagement as outlined in the project agreement. Partners Studio reserves the right to refuse service to anyone for any reason. Upon termination, the client will receive all completed deliverables for which payment has been made.

13. Changes to Terms

Partners Studio reserves the right to update these Terms of Use at any time. Changes take effect immediately upon posting to this page. Your continued use of the Site after changes are posted constitutes acceptance of the revised terms. The "Last updated" date at the top of this page indicates when these terms were most recently revised.

14. Governing Law

These Terms of Use are governed by and construed in accordance with applicable laws. Any disputes arising from these terms or the use of our services shall be resolved through good-faith negotiation between the parties.
